Terms for Developer Briefcase.

Acceptance

These Terms form an agreement between you and Elevoire (“Elevoire,” “we,” “us,” or “our”) concerning Developer Briefcase, related documentation, and this product website (collectively, the “Product”). By installing, accessing, or using the Product, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Product.

If Microsoft Store or another authorized distributor provides additional mandatory license terms, those terms also apply. Where they conflict, mandatory platform or consumer terms control to the extent required.

Eligibility and authority

You must be legally able to enter this agreement and use the Product. If you use it for a company, client, employer, or other organization, you represent that you have authority to bind that organization or are using it under its authorized policies. The Product is intended for adult professional use and is not directed to children.

Limited license

Subject to these Terms, payment or Store-entitlement requirements that may apply, and applicable distributor rules, Elevoire grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Product for its intended internal personal or business organizational purpose on supported devices associated with your valid entitlement.

You receive a license, not ownership of the software. Except where applicable law expressly permits and cannot be waived, you may not copy for redistribution, sell, rent, lease, sublicense, publish, make available as a service bureau, circumvent technical restrictions, remove notices, or reverse engineer the Product.

Permitted purpose

The Product helps organize user-entered records about clients, projects, tasks, environments, launches, renewals, maintenance, resources, notes, invoices, and payments received through other channels. You may use it only lawfully and only for information you have the right and authority to manage.

The Product is not a source-control host, deployment service, uptime monitor, vulnerability scanner, accounting ledger, tax engine, legal document generator, invoicing delivery service, payment processor, escrow service, bank, money transmitter, debt-collection service, or professional adviser.

User records and responsibilities

As between you and Elevoire, you retain your rights in content you enter or reference. The current local version does not require you to grant Elevoire access to local workspace records.

You are responsible for:

• accuracy, completeness, legality, and appropriate retention of records;
• obtaining necessary notices, consents, permissions, and agreements for personal or confidential information;
• keeping client, employee, contractor, vendor, and project information secure;
• not entering passwords, tokens, private keys, payment credentials, prohibited data, or content that infringes rights;
• reviewing archive, delete, restore, and relationship effects before confirming them;
• maintaining authoritative contracts, invoices, tax records, source control, calendars, credentials, original files, and backups separately; and
• verifying every action before using a URL, command, tool, folder, repository, hosting panel, or production system.

Billing records are not financial services

Billing functions allow you to record invoice details and payments you say were received elsewhere. The Product does not send an invoice, verify that a payment occurred, connect to a bank or gateway, authorize a charge, store card or online-banking credentials, transfer funds, issue refunds, perform reconciliation, determine revenue recognition, calculate taxes, satisfy invoicing laws, collect debt, or file reports.

Calculated totals, outstanding balances, overdue labels, currencies, payment status, and dates depend entirely on user-entered records and software operation. Verify them against bank statements, contracts, issued invoices, accounting systems, and professional advice. Do not use the Product as the sole financial record required by law, tax authority, auditor, contract, or accounting standard.

External tools, links, and launch actions

The Product can ask Windows to open websites, folders, files, editors, terminals, and configured tools. Validation reduces some accidental or unsafe inputs but cannot determine that a target is trustworthy, authorized, available, correctly configured, or harmless.

You are responsible for configured executables, arguments, websites, repositories, project folders, hosting systems, SSH configuration, credentials, and any consequence of an external action. Once another product opens, its terms, privacy, security, permissions, and behavior apply.

Availability, reminders, backups, and data loss

The Product, database, notifications, calculations, search, backups, exports, restore, launch checks, external integrations, and Store services may be delayed, interrupted, corrupted, incomplete, incompatible, or unavailable. Causes can include device failure, insufficient storage, malware, permissions, Windows settings, power state, time or timezone, security software, updates, third-party changes, user actions, or defects.

Notifications are not guaranteed and must not be the only reminder for deadlines, renewals, payments, launches, maintenance, contracts, warranties, or security obligations.

You must maintain multiple independent, current, tested backups and authoritative source records. A successful backup creation or integrity check does not guarantee future readability, completeness of external files, or recovery from every event.

Prohibited use

You may not use the Product to:

• violate law, contract, privacy, confidentiality, intellectual-property, employment, consumer, tax, financial, export, sanctions, or security obligations;
• access, store, expose, alter, or launch systems or information without authorization;
• distribute malware, exploit vulnerabilities, evade controls, interfere with services, or harm people or property;
• store payment authentication data, passwords, private keys, access tokens, or other secrets in ordinary workspace fields;
• misrepresent app calculations, checklists, records, or outputs as verified by Elevoire or as professional advice;
• remove ownership notices or use Elevoire branding in a misleading way; or
• enable another person to do any prohibited act.

Microsoft Store and third-party services

Microsoft Store, Windows, hosting providers, repositories, browsers, editors, terminals, email services, external websites, and other tools are independent. Elevoire does not control their availability, security, data handling, pricing, compatibility, or continued operation and is not responsible for their acts or omissions.

Store installation, updates, refunds, regional availability, device association, and entitlements may be subject to Microsoft terms and processes. Links do not imply endorsement.

Ownership, feedback, and branding

The Product, code, compiled software, documentation, website design, branding, app icon, original text, and related intellectual property belong to Elevoire or its licensors and are protected by applicable law.

If you voluntarily provide product suggestions or feedback, you grant Elevoire a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate it without obligation, provided this does not grant us rights to confidential workspace records you did not intentionally submit as feedback.

Warranty disclaimer

To the fullest extent permitted by applicable law, the Product is provided “as is” and “as available,” with faults and without warranties, guarantees, conditions, or representations of any kind, whether express, implied, statutory, or otherwise. Elevoire disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, security, availability, quiet enjoyment, and results.

Elevoire does not warrant that the Product will meet every requirement; operate without interruption, delay, vulnerability, loss, or error; preserve every record; produce legally or financially correct output; identify every blocker or deadline; or remain compatible with all devices, Windows versions, external tools, or Store changes.

Some jurisdictions do not allow certain disclaimers. Any warranty or remedy that cannot legally be excluded remains in effect only to the minimum extent required.

Limitation of liability

To the fullest extent permitted by law, Elevoire and its affiliates, personnel, licensors, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; lost profits, revenue, business, opportunity, goodwill, contracts, clients, or anticipated savings; data loss or corruption; security incidents; missed deadlines or renewals; incorrect invoices or payment status; tax, accounting, legal, or compliance consequences; failed launches or deployments; or third-party claims arising from or related to the Product.

Where liability cannot be excluded, Elevoire’s aggregate liability arising from or related to the Product will not exceed the greater of the amount you paid Elevoire for the Product during the twelve months before the event giving rise to the claim or the minimum amount required by applicable law.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any right or liability that applicable law does not permit to be excluded or limited. Mandatory consumer rights remain unaffected.

Indemnity for business misuse

To the extent permitted by law, if you use the Product on behalf of a business or for commercial activity, you will defend, indemnify, and hold Elevoire harmless from third-party claims, damages, penalties, costs, and reasonable legal fees arising from your unlawful use, your records, your external systems, your breach of these Terms, or your violation of another person’s rights. This clause does not apply where prohibited or to the extent a claim results from Elevoire’s own legally established responsibility.

Suspension, termination, and updates

You may stop using and uninstall the Product at any time. You are responsible for exporting or securely deleting records and backups you wish to retain or remove.

Elevoire may suspend support or terminate a license for material breach, unlawful use, security risk, or as required by law, subject to mandatory rights and distributor terms. Provisions intended by their nature to survive—including ownership, disclaimers, liability, indemnity, and dispute provisions—continue after termination.

The Product and these Terms may change as features, platforms, laws, and distribution requirements evolve. Material terms changes will use a new effective date and may be communicated through the website, release notes, app, or Store listing. Continued use after an applicable update constitutes acceptance where legally permitted; otherwise you may stop use.

Law and disputes

These Terms are governed by the laws applicable where Elevoire is legally established, without regard to conflict-of-law rules, except that mandatory consumer protections and any legally required forum in your place of residence remain unaffected.

Before filing a claim, the parties should attempt in good faith to resolve it through the contact method below, unless urgent relief, a limitation period, regulator access, or applicable law makes informal resolution inappropriate. Courts with lawful jurisdiction may hear unresolved disputes; these Terms do not impose private arbitration unless separately and validly agreed.

Entire agreement and interpretation

• Entire agreement: These Terms, the Privacy Policy, applicable Store terms, and any separate written purchase terms form the agreement concerning the Product.
• Severability: If a provision is unenforceable, it will be limited or removed only as necessary, and the remainder continues.
• No waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without consent; Elevoire may assign them with a business transfer or where otherwise lawful.
• No agency: The Product does not create employment, partnership, fiduciary, professional-adviser, payment-agent, or agency relationships.
• Headings: Headings aid reading and do not alter meaning.
• Language: The English version controls to the extent legally permitted if a translation differs.
